Any work outside the agreed scope may be treated as a change request and may involve additional cost and timeline adjustments.

6. Client Responsibilities

To ensure successful project delivery, clients are responsible for providing:

  • Complete project requirements
  • Timely approvals
  • Required content
  • Brand assets
  • Images and videos (where applicable)
  • Domain and hosting access (if required)
  • API credentials
  • Third-party service access
  • Prompt feedback during development

Delays in providing required information or approvals may affect delivery timelines.

7. Change Requests

Business requirements may evolve during a project. Changes requested after project approval may require scope review, timeline adjustment, revised pricing, and additional development effort.

All change requests will be discussed and approved before implementation.

8. Payment Terms

  • Ownership of project deliverables is transferred according to the agreed contract and after all outstanding payments have been received
  • Third-party software, frameworks, plugins, libraries, or APIs remain subject to their respective licenses

10. Third-Party Services

Projects may involve third-party products or services such as Cloud Hosting, Domain Registrars, Payment Gateways, Email Services, SMS Providers, WhatsApp Business API, Google Services, Microsoft Services, and AI Service Providers.

Their availability, pricing, functionality, and terms are controlled by their respective providers. Digitex Guider is not responsible for changes, outages, or policies of third-party services.

11. Support & Maintenance

Support and maintenance services are provided according to the selected maintenance plan or agreement. Support may include bug fixes, security updates, performance optimization, technical assistance, and software updates.

Requests outside the agreed support scope may be quoted separately.

12. Website & Software Warranty

Digitex Guider will make reasonable efforts to deliver software that functions according to the approved project requirements.

However, software may require future updates, third-party services may change, browser updates may affect functionality, and operating system updates may require modifications. No software can be guaranteed to remain error-free under all conditions indefinitely.

13. Confidentiality

Both parties agree to protect confidential information shared during the project. Confidential information may include business strategies, technical documentation, source code, login credentials, financial information, customer information, and project documentation.

Neither party will disclose confidential information except where required by law or with written permission. A separate Non-Disclosure Agreement (NDA) may be executed where required.

14. Data Protection

We process personal information in accordance with our Privacy Policy.

Clients are responsible for ensuring they have the necessary rights and permissions for any personal data they provide to us for project purposes.

15. Acceptable Use

Clients agree not to use software or services developed by Digitex Guider for unlawful activities, including but not limited to:

  • Fraud
  • Hacking
  • Malware distribution
  • Spam campaigns
  • Copyright infringement
  • Unauthorized data collection
  • Illegal financial activities

Digitex Guider reserves the right to refuse or terminate services that involve unlawful or unethical activities.

16. Service Availability

While we strive to maintain continuous availability of our website and services, we cannot guarantee uninterrupted access.

17. Limitation of Liability

  • Outstanding invoices remain payable

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including but not limited to:

  • Government restrictions

  • Power failures
  • Pandemics
  • Cyberattacks affecting infrastructure
  • Labor disputes

21. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction specified in the relevant project agreement or contract.

Where no separate agreement exists, applicable governing law and dispute resolution procedures will be determined in accordance with relevant legal requirements.

22. Changes to These Terms
